Credits Terms

These Locally Informed Credits Terms of Service, including any future modifications (“Credits Terms”), govern your purchase, receipt, and use of Locally Informed Limited (“Locally Informed”, “we” or “us”) fictional currency (“Locally Informed Credits”) and your redemption of Locally Informed Credits in the News Website Marketplace where they were purchased, awarded or earned on the Locally Informed Platform (“News Website Marketplace”) for challenge contests and job contracts (“Challenges & Jobs”).

These Credits Terms also govern your submission of Challenges & Jobs for possible placement in News Website Marketplaces (“Your Challenges & Jobs”) and, if you are a News Website Creator or other eligible person as may be specified by Locally Informed from time to time, certain incentives (“Incentives”) that Locally Informed may provide to you associated with Challenges & Jobs. Your activities under these Credits Terms are also subject to the terms and conditions of Locally Informed’s general Terms of Service (including all restrictions, disclaimers, and limitations of liability contained therein) and the Credits Terms are hereby incorporated into the Locally Informed Terms of Service. Any capitalized terms not defined herein have the meaning set forth in the Locally Informed Terms of Service. Locally Informed may, from time to time, post additional guidelines regarding the Incentive Program and submission of Your Challenges & Jobs (“Credits Guidelines”). All Credits Guidelines are part of these Credits Terms and are hereby incorporated by reference. In the event of any conflict between the Terms of Service and these Credits Terms, these Credits Terms will control.

By accepting, purchasing, using, or redeeming Locally Informed Credits, by giving or receiving Credits, by submitting Your Challenges & Jobs to Locally Informed, or by participating in the Incentive Program, you acknowledge that you have read, understood, and agree to be bound by these Credits Terms and the Terms of Service.

1. Locally Informed Credits

As a Member or News Website Creator, Locally Informed may either charge a fee to you for Locally Informed Credits, or, at its discretion, distribute Locally Informed Credits to you for free. Regardless of any terminology used in these Credits Terms (such as “purchase,” “buy,” or “sell”) or when we otherwise talk about transactions related to Locally Informed Credits, the News Website Marketplace or Challenges & Jobs, Locally Informed does not transfer an ownership interest in the Locally Informed Credits to you. Locally Informed Credits are merely a virtual item licensed to you and have no monetary value. Locally Informed hereby grants you a limited, digital, non-exclusive, non-transferable, revocable, one-time use license (with no right to sublicense) to use the Locally Informed Credits, in the form provided by Locally Informed, solely for the purpose of using on the Locally Informed Platform as provided by these Credits Terms and the Terms of Service. Locally Informed Credits may be redeemed only at the News Website Marketplace where they were awarded, earned or purchased. You may not obtain cash from Locally Informed, any Member, News Website Creator or any third party in exchange for Locally Informed Credits. You will not sell Locally Informed Credits to anyone. You may transfer or agree to transfer Locally Informed Credits to anyone within the News Website where they were awarded, earned or purchased. You acknowledge that Locally Informed Credits are fictional currency. You agree that Locally Informed has the absolute right to change the purchase price of, reduce, manage, regulate, control, modify, or eliminate Locally Informed Credits as it sees fit in its sole discretion, and that Locally Informed will have no liability to you based on its exercise of such rights.

You may view your Locally Informed Credit balance at any time on your My Settings page. Your license to Locally Informed Credits expire on the sooner of: (a) the deactivation or termination of your Locally Informed Member account by you or Locally Informed; and (b) Locally Informed’s revocation or termination of the license as provided by these Credits Terms or the Terms of Service; and (c) three years after your purchase of those Locally Informed Credits. Locally Informed may immediately cancel, suspend, or limit your access to your Locally Informed Credits if Locally Informed suspects fraudulent, abusive, or unlawful activity in connection with your Locally Informed Credits, or if you have violated the Terms of Service or these Credits Terms. Locally Informed is under no obligation to reinstate cancelled, suspended, forfeited or otherwise lost Locally Informed Credits.

2. Payment for Locally Informed Credits

Locally Informed uses PayPal or other third parties to process your payments for Locally Informed Credits. By purchasing Locally Informed Credits, you are authorizing the payment processor to charge your credit card or debit your bank account all applicable fees for your purchase, including any applicable taxes. You must comply with all terms established by the payment processor. You acknowledge that Locally Informed does not control the transaction, and that you bear all risk in connection with the transaction. All purchases of Locally Informed Credits are final and Locally Informed will not issue refunds of payments for Locally Informed Credits. To the fullest extent permitted by law, you waive all claims against us related to payments for Locally Informed Credits. Refunds (if any) of any payment you make for Locally Informed Credits will be given solely by the payment processor and are subject to the payment processor's policies and applicable law. If you believe that any charge by the payment processor is in error, you must contact the payment processor to seek resolution. Your correspondence or business dealings with a payment processor, including payment and related services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the applicable payment processor. Locally Informed is under no obligation to become involved and you hereby release Locally Informed from any liability for any dispute that you may have with a payment processor.

If payment from the payment processor is not received for any reason, you will pay all amounts due upon demand and Locally Informed may cancel your Locally Informed Credits or terminate your Locally Informed account. You are solely responsible for any and all fees charged to your credit card by the issuer, bank, or financial institution including, but not limited to, membership, overdraft, insufficient funds, and over the credit limit fees.

You are responsible for and agree to reimburse Locally Informed, for all reversals, charge-backs, claims, fees, fines, penalties and other liability incurred by us (including costs and related expenses) that were caused by or arising out of payments that you authorized or accepted.
